Terms of Service
These Terms of Service ("Terms") govern your use of the Chiral Audio website at chiral.audio and any audio plugin software we license to you (collectively, the "Services"). "Chiral Audio," "we," "us," and "our" refer to Chiral Audio, operating from Atlanta, Georgia, United States. "You" refers to the individual or entity using the Services.
By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Short version. You can use Chiral plugins for personal or commercial music production. Each product license activates up to two machines. You cannot redistribute, reverse-engineer, resell, share license keys, or use the software to build a competing clone. The software is provided "as is." We are not liable for more than what you paid. Governing law is the State of Georgia.
1. Changes to these Terms
We may revise these Terms from time to time. The "Effective" date above indicates the most recent revision. Material changes will be announced on the site. Continuing to use the Services after a change means you accept the revised Terms.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase or license the Services. By using the Services you represent that you meet this requirement.
3. Newsletter, checkout, and license delivery
You may sign up for product updates by providing your email address. We may send product announcements, release notes, license-related messages, and support replies. You can unsubscribe from optional update emails at any time. See our Privacy Policy for how we handle that information.
Checkout is handled by Paddle, our merchant of record. Paddle processes payment, collects and remits applicable taxes, and may present its own checkout terms. After a successful purchase, Chiral Audio sends the license key and download links to the email address used at checkout.
4. Plugin license
Subject to your compliance with these Terms and payment of any applicable fees, Chiral Audio grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the plugin software (the "Software") for your personal or commercial music production purposes, on computers you own or control, for the life of the Software.
Unless your purchase confirmation specifies otherwise, each plugin license key may be activated on up to two computers used primarily by a single licensee (the person or legal entity named on the order). The Software requires an internet connection for activation and periodic license verification. After activation, the Software may run offline for up to 14 days between online checks.
For organizational, studio, classroom, lab, or shared-machine licensing, contact us before purchase.
5. Restrictions
You may not:
- Copy, redistribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Software or your license to any third party.
- Reverse-engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits and only after notifying us and allowing reasonable opportunity to provide the needed information.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Circumvent activation, license verification, machine limits, copy protection, or other technical measures.
- Use the Software to develop a competing product that reproduces its structure, interface, mechanism, presets, or features.
- Use the Software, presets, documentation, demos, site assets, or other Chiral materials for automated extraction, model training, or dataset creation intended to recreate the product or its behavior, except where applicable law expressly permits.
- Use the Software in connection with any unlawful activity or to infringe on any third party's rights.
- Share, publish, or distribute license keys or activation credentials.
You may produce, perform, publish, license, sell, and distribute musical works, sound-design work, recordings, videos, games, and other audio content created using the Software without any royalty, reporting obligation, or ownership claim from Chiral Audio.
You may not redistribute factory presets, included content, user-interface assets, documentation, or extracted plugin output as a standalone preset pack, sample library, effect library, dataset, or competing product.
6. Ownership
The Services, including the Software, website content, trademarks, logos, documentation, presets, and all associated intellectual property, are owned by Chiral Audio or its licensors and are protected by copyright, trademark, and other laws. No right, title, or interest is transferred to you except the limited license expressly granted in Section 4.
Any feedback, suggestions, or ideas you submit to us may be used by Chiral Audio without restriction or compensation.
7. Updates and availability
We may release updates, patches, and new versions of the Software at our discretion. We may also discontinue a plugin or feature. Except where required by law, we are not obligated to provide updates, support, or continued availability.
We may change download hosts, installers, activation systems, supported formats, or delivery methods as long as doing so does not materially remove the license you purchased. You are responsible for keeping a copy of your license email and using current installers from official Chiral Audio channels.
8. Payment and fees
Plugin prices are stated at the point of purchase. Fees are payable in the currency indicated. Paddle may calculate, collect, and remit applicable taxes as merchant of record. Prices, launch offers, coupons, and bundle offers may change without notice. If a transaction is affected by fraud, abuse, technical error, pricing error, or payment failure, we may cancel the order and issue a refund where appropriate.
All sales are final except as set forth in our Refund Policy. Purchases made through a third-party reseller, marketplace, or distributor are governed by that reseller's payment and refund terms.
9. Beta and early-access software
We may offer beta or early-access builds to newsletter subscribers, customers, or selected users. Beta software is provided for testing purposes only, may be unstable, may be watermarked or time-limited, and may change or be withdrawn at any time. Feedback you provide about beta software may be incorporated into future releases without compensation.
10. Warranty disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIRAL AUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA YOU PROVIDE WILL BE SECURE OR NOT LOST.
Some jurisdictions do not allow exclusion of implied warranties, so these exclusions may not fully apply to you. Where required by law, statutory consumer rights apply and are not limited by this section.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIRAL AUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CHIRAL AUDIO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APPLICABLE PLUGIN IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS.
12. Indemnification
You agree to defend, indemnify, and hold harmless Chiral Audio and its affiliates from any claim, demand, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party right.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your license immediately if you materially breach these Terms, including any use that violates Section 5. On termination, the license granted in Section 4 ends and you must cease use and remove all copies of the Software from systems under your control. Sections 5, 6, 10, 11, 12, 14, 15, and 16 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Services is the state and federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction there.
You and Chiral Audio agree to attempt to resolve any dispute in good faith and informally before initiating legal action. Nothing in this Section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property.
15. Export control
You must comply with all applicable export and re-export laws of the United States and other jurisdictions. You represent that you are not located in, and will not use the Services in, any country subject to a U.S. Government embargo, and that you are not on any U.S. Government list of prohibited or restricted parties.
16. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and Chiral Audio regarding the Services.
- Severability. If any provision is unenforceable, the remainder of these Terms remains in effect.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or reorganization.
- Headings. Section headings are for convenience only and do not affect interpretation.
